Care Core, Inc. (formerly Elevate X Health, Inc.) ("Care Core," "we," "our," or "us")
Terms & Conditions of Use
Effective Date: July 13, 2025
Welcome to Care Core, a technology platform that enables:
- Consumers / Members ("Users") to discover and purchase health‑related products, digital services, and educational content;
- Creators / Sellers ("Creators") to curate storefronts, memberships, and communities; and
- Suppliers & Fulfillment Partners ("Suppliers") to dispense products, laboratories to perform tests, and independent clinical practices to deliver asynchronous telehealth consultations.
These Terms & Conditions ("Terms") constitute a legally binding agreement between you and Care Core. By creating an account, accessing, or using any part of the Platform you agree to be bound by these Terms and our Privacy Policy (collectively, the "Agreement"). If you do not agree, do not use the Platform.
1. Eligibility & Territory
1.1 Age & Capacity. You must be at least 18 years of age and have the legal capacity to enter into this Agreement.
1.2 United States Use Only. Care Core is directed solely to persons located in the United States. We do not market or make the Platform available to users in other jurisdictions and may employ geo‑blocking or other controls to enforce this limitation.
1.3 Excluded Individuals. You may not use the Platform if you are barred under any applicable law, reside in a jurisdiction subject to U.S. embargoes, or have been previously suspended by Care Core.
2. Account Registration & Security
2.1 Account Creation. To access most features you must register using a valid email address and accept these Terms at sign‑up. Additional consents may be required when you request telehealth services, laboratory testing, or memberships.
2.2 Accuracy. You agree to provide true, current, and complete information and to update it promptly.
2.3 Credentials. You are responsible for safeguarding your login credentials and all activities that occur under your account. Notify us immediately of any unauthorized use.
3. Role of Care Core; Relationship of Parties
3.1 Technology Intermediary. Care Core is not a medical group, pharmacy, or laboratory. We do not practice medicine, fill prescriptions, manufacture products, or provide professional services. The Platform connects Users, Creators, and Suppliers but Care Core does not take possession of goods, and all sales are fulfilled directly by Suppliers.
3.2 Independent Parties. Creators, Suppliers, and affiliated physicians are independent contractors, not employees, agents, or partners of Care Core. Care Core is not responsible for the acts, omissions, or representations of any third party.
4. Marketplace Transactions & Fees
4.1 Product Listings. Prices, descriptions, and availability are set either (i) by Care Core, or (ii) by Suppliers with Care Core approval. We may modify listings at any time to correct errors or reflect changes.
4.2 Consultation Fees. Certain prescription products require an asynchronous telehealth consultation performed by an independent, state‑licensed clinician through our partner medical group. Users pay a flat consultation fee (currently US $[25–33], subject to change). Consultation fees are non‑insurance, cash pay charges; no claims are submitted to third‑party payers.
4.3 Revenue Share & Creator Commissions. For eligible items (e.g., supplements, devices, memberships), Care Core deducts an operating fee and remits a creator commission as disclosed in the Creator Dashboard. Laboratory testing revenue is excluded from percentage‑based commissions; instead, a fixed platform facilitation fee applies to comply with the Eliminating Kickbacks in Recovery Act (EKRA) and applicable state anti‑markup rules.
4.4 Payment Processing. All payments are processed by third‑party processors (e.g., Stripe Connect, PayPal). Care Core never stores complete payment card numbers. You authorize Care Core and its payment partners to charge your designated payment method for all purchases, fees, taxes, and renewals.
4.5 Refunds. If a clinician determines a prescription product is not appropriate you will receive a full refund of the consultation fee. Other refund requests are governed by our Refund Policy.
5. Memberships & Subscriptions
5.1 Creator‑Managed Plans. Creators may offer recurring memberships that grant access to exclusive content or community features. The terms (price, billing frequency, benefits, cancellation method) are disclosed at checkout.
5.2 Auto‑Renewal & Cancellation. Unless otherwise stated, memberships renew automatically at the then‑current rate until canceled. You may cancel at any time through your account settings or by contacting support; cancellation takes effect at the end of the current period.
5.3 Consumer Protection. Care Core complies with applicable state automatic‑renewal laws, including clear disclosure of renewal terms, advance renewal reminders where required, and easy‑to‑use cancellation mechanisms.
6. AI‑Powered Educational Tools
6.1 Informational Use Only. Care Core's chatbots and AI‑driven tools are designed to provide general wellness and educational information. They do not constitute medical advice, diagnosis, or treatment.
6.2 No Reliance. You agree not to rely on AI outputs to make medical decisions. Always seek the advice of a licensed clinician for questions regarding a medical condition.
7. No Medical Advice; Telehealth Services
7.1 Platform Content. All articles, videos, courses, community posts, and AI outputs are for educational purposes only. Nothing on the Platform is intended to create a physician–patient relationship.
7.2 Telehealth Consults. Clinical services are provided solely by independent, state‑licensed clinicians through our partner medical group. When you request a consultation you will: (i) complete a separate medical intake, (ii) receive required state and federal telehealth disclosures, and (iii) enter into a direct treatment relationship with the clinician. Care Core is not a party to, and disclaims all liability for, such clinical services.
7.3 Emergency. The Platform is not appropriate for emergency or life‑threatening situations. Call 911 or go to the nearest emergency department in such cases.
8. Intellectual Property
8.1 Care Core Content. The Platform and all related technology, trademarks, and content (excluding User and Creator Content) are owned by Care Core or its licensors and are protected by intellectual‑property laws.
8.2 License to You. Subject to these Terms, Care Core grants you a limited, non‑exclusive, non‑transferable license to access and use the Platform for its intended purpose.
8.3 User & Creator Content. You retain ownership of content you submit but grant Care Core a worldwide, royalty‑free license to host, display, reproduce, and distribute it solely to operate and improve the Platform. You represent that you have all rights necessary to grant this license.
9. Data; Privacy; Consumer Health Information
9.1 Privacy Policy. Our separate Privacy Policy explains how we collect, use, disclose, and protect personal information, including "consumer health data" subject to emerging U.S. state laws (e.g., Washington My Health My Data Act, California CMIA).
9.2 Consent. By using the Platform you consent to our data practices, including:(i) collection of wellness inputs, purchase history, and usage data; (ii) anonymization or aggregation of data for analytics; and (iii) disclosure of limited purchase information to the Creator that referred you, as described in the Privacy Policy.
9.3 No HIPAA Coverage. Because all transactions are self‑pay cash services, Care Core is not a "covered entity" or "business associate" under the Health Insurance Portability and Accountability Act (HIPAA). Do not rely on HIPAA protections for data provided through the Platform.
9.4 State Rights. Depending on your U.S. state of residence you may have rights to access, delete, or restrict processing of your consumer‑health data. Instructions for exercising these rights are provided in the Privacy Policy.
10. Prohibited Conduct
You agree not to:
- Violate any applicable law, regulation, or these Terms;
- Provide false, misleading, or incomplete information;
- Use the Platform to diagnose or treat others without appropriate licensure;
- Engage in any activity that infringes or misappropriates another's intellectual‑property or privacy rights;
- Decompile, reverse engineer, or attempt to derive the source code of the Platform;
- Interfere with the security or integrity of the Platform or data of any other user;
- Use bots, scrapers, or automated means without prior written permission;
- Market or sell products in ways that violate EKRA, state anti‑kickback, or controlled‑substance laws.
11. Suspension & Termination
We may suspend or terminate your account and access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms, poses legal risk, or harms other users. You may terminate your account at any time through account settings. Sections that by their nature should survive (e.g., intellectual property, disclaimers, limitation of liability) shall survive termination.
12. Disclaimers
- "AS IS" Platform. The Platform and all content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
- No Warranties. Care Core disclaims all warranties including merchantability, fitness for a particular purpose, title, and non‑infringement. Care Core makes no warranty that the Platform will meet your requirements or be uninterrupted, timely, secure, or error‑free.
13. Limitation of Liability
To the maximum extent permitted by law, Care Core and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or loss of profits or revenues, arising out of or related to the Platform, even if advised of the possibility of such damages. In no event shall Care Core's aggregate liability exceed the greater of (i) the amounts you paid to Care Core in the six‑month period preceding the claim or (ii) US $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases Care Core's liability shall be limited to the fullest extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Care Core, its affiliates, and their respective officers, directors, employees, contractors, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to your: (i) use or misuse of the Platform; (ii) violation of these Terms; (iii) violation of any law or rights of a third party; or (iv) User or Creator Content.
15. Governing Law; Dispute Resolution
15.1 Governing Law. This Agreement is governed by the laws of the State of Delaware, without regard to conflict‑of‑laws principles.
15.2 Binding Arbitration. Any dispute arising under or related to this Agreement will be resolved exclusively through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules. Class actions and jury trials are waived. The arbitration shall take place in New York, NY, unless the parties agree otherwise.
15.3 Equitable Relief. Nothing herein limits either party's right to seek injunctive relief to prevent actual or threatened infringement, misuse, or misappropriation of intellectual‑property or confidential information.
16. Changes to these Terms
We may revise these Terms at any time by posting an updated version and updating the "Effective Date." Material changes will be communicated by email or prominent notice. Continued use of the Platform after any modification constitutes acceptance of the revised Terms.
17. General Provisions
- Entire Agreement. These Terms constitute the entire agreement between you and Care Core regarding the Platform and supersede all prior agreements.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in full force.
- Assignment. You may not assign or transfer this Agreement without our prior written consent. We may assign our rights and obligations without restriction.
- Force Majeure. Care Core will not be liable for any delay or failure caused by events beyond its reasonable control.
